1. Agreement to Terms

By accessing, browsing, registering an account on, or submitting an appointment booking through the Optimised software application operated by Growth Sparrow ("Platform", "we", "us"), you agree to be legally bound by these Terms of Use. If you do not agree to these terms, you must not use or access the Platform.

2. Description of Service

Optimised is an all-in-one template-driven multitenant SaaS scheduling, CRM, and operations suite designed for healthcare clinics, law and consulting practices, professional service firms, repair technicians, and flexible workspace operators. Optimised acts as a technology intermediary facilitating online bookings, calendar synchronizations, video conference invitations, and itemized invoicing.

3. Tenant Responsibilities & Account Security

Tenants registering an account agree to:

• Maintain an 8-character alphanumeric password to ensure account integrity.
• Provide accurate business profile, licensing, and contact information.
• Comply with applicable industry privacy regulations (such as HIPAA for healthcare or professional ethics for legal counsel).
• Adhere to the strict 1MB file size limit for uploaded media assets.

4. Customer Booking & Cancellation Policies

When an end-user reserves an appointment slot, timeslot, or space booking, the reservation constitutes a binding engagement between the customer and the specific tenant business. Cancellation terms, rescheduling windows, and refund eligibility are governed by the tenant's individual service policies and applicable local laws.

5. Upfront Payments & Invoicing

Payments processed online through Stripe or Razorpay are collected on behalf of the respective tenant. Invoices automatically generated by the Platform provide an itemized account of services, applicable taxes, and settlement records for record-keeping and taxation purposes.

6. Intellectual Property & Brand Assets

The Optimised platform, brand logo, software code, vector assets, and system templates are the proprietary intellectual property of Growth Sparrow. Tenants retain ownership of their uploaded trademarks, client lists, and copyrighted marketing materials.

7. Limitation of Liability

To the fullest extent permitted by applicable law, Growth Sparrow and Optimised shall not be liable for any indirect, incidental, or consequential damages resulting from business interruptions, missed appointments, or disputes between tenants and their clientele.
